The job holder is responsible for the provision of sound legal advisory services as well as effective management of litigation, contracts, as well as provide support in the securitization process, policy formulation and implementation, regulatory compliance and governance and any other necessary support to the Legal Manager. The Legal Officer shall ensure that the interests of the Bank are not prejudiced either before court or in the public domain.

Litigation management

  • Maintain and update the database of cases and management of litigation, including diarizing hearing notices and follow up of ongoing matters.
  • Review progress of outstanding litigation and liaise with and manage external lawyers.
  • Collate documents and any evidence, identify and prepare witnesses in support of Bank cases.

Contract and Lease formulation/ negotiation

  • Review all contracts, Lease or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention.
  • Prepare, review and modify contractual instruments to assist and support various business activities.
  • Negotiate, review and draft documentation for business transactions and prepare.

Policy development and advisory

  • Review and advise management on legal implications of internal policies and procedures.
  • Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
  • Assist management in interpreting and applying statutes, agreements, contracts, rules and regulations.
  • Proactively carry out research on emerging legal issues and advise management.

Regulatory compliance & Governance support

  • Support the Legal Manager in ensuring compliance with regulators and internal controls.
  • Provide support to the Legal Manager in preparation of monthly and quarterly reports for the department for executive management meetings.
  • Support the Legal Manager  in organizing, preparing agendas for and taking minutes of board meetings and annual general meetings (AGMs) and maintaining statutory books, including registers of members, directors and secretaries.

Administrative duties

  • Provide continuous support to the Legal Manager, supervision, training and development of department staff ensuring an effective and motivated team.

Education

Bachelor Of Law (Required)
